1. Account and Registration
To use Veropital you must be of legal age and authorized to act on behalf of the clinic you are registering. You agree to provide accurate, up-to-date information at signup, to keep your account secure, and to be responsible for all activity in it. You must notify us as soon as you become aware of any unauthorized use of your account.
2. License and Permitted Use
For the duration of this agreement we grant you a personal, non-transferable, non-exclusive, revocable license to use the Services in connection with your clinic operations. You may not abuse the Services, attempt to extract source code, generate abnormal load with automated tools, resell access to other users, or use the Services outside of a dental clinic context.
3. Clinic Data and Processor Role
All clinic and patient data you upload to the platform remains your property. Veropital acts only as data processor for that data. Your data is not used outside of delivering the Services, monitoring performance, and fixing errors. When you close your account, you receive a full data export (CSV/SQL) within 30 days.
4. Payment and Billing
Subscription fees are billed in advance on a monthly or yearly basis according to the plan you choose. Prices do not include VAT, which is added at the applicable rate. We send a renewal reminder by email seven days before each billing date. Keeping your payment method current is the Clinic's responsibility. If payment is not made, services may be suspended after a 14-day notice.
5. Cancellation and Refunds
You can cancel your subscription with one click from the panel; there are no penalty fees. On monthly plans, cancellation takes effect at the end of the current period. On yearly plans, the unused period is refunded on a prorated basis; new subscriptions cancelled within the first 14 days qualify for a full refund. All refunds are issued to the original payment method within 14 business days.
6. Service Level (SLA)
On paid plans, Veropital targets 99.9% annual uptime. If we fall short of that target, Enterprise plan customers automatically receive credit. Scheduled maintenance windows (typically Sunday night between 03:00 and 05:00) are excluded from this calculation and announced in advance.
7. Disclaimer of Warranties
The Services are provided on an "as-is" basis. Veropital does not warrant that the Services will run uninterrupted or be free of all defects. Clinical decisions, treatment choices, and patient management remain entirely the Clinic's responsibility. Veropital is not liable for indirect, incidental, or consequential damages (lost profits, lost data, reputational harm). Veropital's total liability is limited to the fees paid in the 12 months preceding the relevant event.
8. Intellectual Property
The Veropital name, logo, software, design language, and documentation are the intellectual property of Veropital and are protected by copyright, trademark, and other applicable law. The Clinic retains its rights in the content it creates while using the Services (clinical notes, treatment plans, patient data).
9. Third-Party Services
The Services may use third-party integrations (SMS delivery, payment services, email delivery, the WhatsApp Business API). These third parties operate under their own terms, and Veropital is not liable for their availability or accuracy.
10. Termination
Either party may terminate this agreement without cause upon 30 days' written notice. Veropital may suspend or terminate an account immediately in the event of a breach of these terms, payment default, fraud, or unlawful use. Termination does not affect fees already paid and does not relieve us of the data-export obligation.
11. Changes
These Terms may be updated as legislation changes or the Services evolve. Material changes are announced by email at least 30 days in advance. Continued use of the Services after the updated Terms take effect constitutes acceptance.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Türkiye. Any disputes arising out of these Terms fall under the exclusive jurisdiction of the Istanbul Çağlayan courts and execution offices. Consumer-law rights of users acting as consumers are reserved.
